We are looking for an exceptional Senior Paralegal to join our global legal team. You will partner with our in-house corporate legal team on a broad range of matters relating to public company processes, corporate transactions, general corporate projects, and contracting matters, as well as create and support legal processes and efficiencies You will be part of the global legal team, but will also be interacting directly with management and key internal stakeholders. The position reports to the Associate General Counsel & Assistant Secretary based in our Andover, MA office.


What you’ll do:


  • Work directly and independently with in-house attorneys, outside attorneys, and various corporate departments within the corporation
  • Maintain domestic and international corporate subsidiary minute books 
  • Work with global outside counsel to ensure corporate compliance
  • Assist with the preparation of SEC filings
  • Assist with drafting and execution of legal documentation related to tax step plans and other tax planning projects
  • Assist with drafting and execution of legal documentation related to treasury planning projects
  • Assist with drafting and execution of other intercompany and transactional agreements/documents
  • Assist and support integration of mergers and acquisitions transactions
  • Prepare reports and recommendations for review by in-house legal counsel as required
  • Support, research and document positions and conclusions
  • Identify and assist with business process improvement, including streamlining and automation of recurring processes and transactions; and
  • Perform all other related duties as assigned


What will you bring to the team, along with your drive and 10+ years’ experience in a similar role for an in-house legal team or law firm, focusing on public company governance and securities law compliance matters:


  • Minimum of a Bachelor’s degree
  • Paralegal certificate or equivalent experience
  • Attention to detail and the ability to prioritize
  • Hands-on approach and strong business sense
  • Must be able to exercise considerable judgment and latitude in communicating information on a need-to-know basis to appropriate individuals and otherwise maintain confidentiality requirements
  • Outstanding verbal and written communications skills
  • Must be an independent and strategic thinker who is a strong team player (no job is too small or too large) and willing to take on additional responsibilities
  • Demonstrated initiative and ability to work in a fast paced, changing environment and flexibility to various changing working conditions based on priorities
  • Excellent computer skills with Microsoft Office suite of programs: MS Word, Excel, and PowerPoint, including experience creating spreadsheets, presentations and reports; and
  • Notary Public preferred
